You agree to indemnify, defend, and hold harmless Thrive Now Media, and its officers, directors, employees, partners, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:
Your use of the Services
Any content you submit, upload, or make available through the Services
Your violation of these Terms or any applicable law
Your infringement of any rights of a third party, including intellectual property or privacy rights
We reserve the right to handle our legal defense however we see fit, even if you are indemnifying us, and you agree to cooperate with us.
Our Services are provided “as is” and “as available,” without warranties of any kind, either express or implied.
We do not guarantee that the Services will always be secure, error-free, or available without interruptions. You use the Services at your own risk.
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We are not responsible for the actions or content of users or third parties, and you assume full responsibility for your use of the Services.
To the fullest extent permitted by law, Thrive Now Media and its affiliates, officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, use, goodwill, or other intangible losses resulting from:
Your use of or inability to use the Services
Any content or conduct of any third party on the Services
Unauthorized access, use, or alteration of your content or data
In no event will our total liability to you exceed the amount you have paid us to use the Services — or, if no amount has been paid, then $0.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.
To the fullest extent permitted by law, you release Thrive Now Media and our affiliates, officers, employees, and agents from any claims, demands, losses, or damages arising out of or related to disputes with other users or third parties.
If you are a resident of California, you waive California Civil Code § 1542, which states:
"A general release does not extend to claims that the creditor does not know or suspect to exist in their favor at the time of executing the release, which if known must have materially affected their settlement with the debtor."
This release applies whether or not we are directly involved in the dispute.
By using our Services, you understand and agree that your information may be collected, transferred to, processed, and stored in countries outside of your own — including the United States — where data protection laws may be different from those in your jurisdiction.
We take reasonable steps to protect your personal information in accordance with our Privacy Policy, no matter where it is processed or stored.
You may not use, export, or re-export our Services in violation of any applicable laws, including U.S. export control laws.
By using the Services, you represent and warrant that:
You are not located in, and are not a resident of, a country or region subject to U.S. government embargoes (such as Cuba, Iran, North Korea, Syria, or Crimea)
You are not on any U.S. government list of restricted or prohibited parties
You will comply with all applicable anti-corruption and anti-bribery laws, including the U.S. Foreign Corrupt Practices Act
We reserve the right to restrict access to the Services where required by law.
Our Services are not intended for use by U.S. federal, state, or local government agencies or entities. No special rights are granted beyond those outlined in these Terms.
If you have a concern or dispute with us, we encourage you to first reach out so we can try to resolve it informally. Most issues can be resolved quickly and without formal legal action.
If we cannot resolve the issue informally, you and Thrive Now Media agree to resolve any disputes related to these Terms or the Services through binding arbitration, rather than in court.
Key points:
Arbitration will be conducted by a neutral third party and will be confidential
You agree to waive your right to a jury trial
You also agree not to participate in any class action or representative legal proceeding
This section does not apply to claims that can be brought in small claims court or to requests for injunctive or equitable relief relating to intellectual property rights.
If you are a resident of a location where this agreement to arbitrate is not enforceable, this section will not apply.
These Terms and any dispute related to your use of the Services will be governed by the laws of the State of Colorado, without regard to its conflict of laws rules.
If arbitration does not apply, you agree that any legal action must be brought in the state or federal courts located in Colorado, and you consent to the personal jurisdiction of those courts.
If you reside in a location where this provision is not enforceable, applicable local laws may apply instead.
We may update these Terms from time to time. When we make changes, we will revise the “Last Updated” date at the top of this document.
We may also notify you through the Services, by email, or by other reasonable means. Your continued use of the Services after any changes become effective means you accept those changes.
If you do not agree to the updated Terms, you must stop using the Services.
You may stop using the Services at any time.
We may suspend or terminate your access to the Services at our discretion, including if we reasonably believe you have violated these Terms or used the Services in a harmful or unlawful way.
We are not responsible for any loss or harm related to your inability to access the Services after termination.
If any part of these Terms is found to be invalid or unenforceable under applicable law, that part will be removed or limited to the minimum extent necessary.
The rest of the Terms will remain in full force and effect.
These Terms are the complete agreement between you and Thrive Now Media regarding the Services, and they supersede any prior agreements or understandings.
You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.
Our failure to enforce any part of these Terms is not a waiver of our rights.
These Terms do not create any third-party beneficiary rights unless expressly stated.
Section titles are for convenience only and have no legal effect.
